Brandl & Talos assists multi-billion bwin merger
The merger of bwin Interactive Entertainment AG with PartyGaming Plc became effective on 31 March 2011. The EUR 1.7 billion merger resulted in the creation of the world’s largest listed online gaming company. The preparation of the transaction lasted more than one year and involved 15 separate jurisdictions. The transaction is especially significant as it was the first cross-border merger of two publicly listed companies in Europe. The multi-jurisdictional nature of the more than EUR 1.7 billion transaction added to the complexity of the transaction and will set a precedent for the merger of public companies in Europe.
The newly merged company is now called bwin.party digital entertainment plc and is listed on the London Stock Exchange. The registered office and stock exchange listing in this case involved three jurisdictions, namely Austria, Gibraltar and the United Kingdom.
This transaction is further evidence that a young and growing law firm can successfully be involved at the highest level of international law and lead multi-jurisdictional, high-value and complex transactions.
